1 Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Client", "Customer", "User") and Animaa Infotech ("Company", "we", "us") governing your access to and use of our website, digital products, and services.

By accessing our website, purchasing a product, or engaging our services — including via our Razorpay payment gateway — you confirm that you:

• Are at least 18 years old or have the legal authority to bind your organization
• Have read and understood these Terms
• Agree to be bound by these Terms and our Privacy Policy

If you do not agree to any part of these Terms, please do not use our services or make any purchase.

2 Services Offered

Animaa Infotech provides the following categories of products and services:

All payments for the above services are processed securely through Razorpay Software Private Limited, an RBI-registered payment aggregator.

3 Account Registration

Some services require you to create an account. When registering:

• You must provide accurate, current, and complete information
• You are responsible for maintaining the confidentiality of your login credentials
• You are responsible for all activities that occur under your account
• You must notify us immediately of any unauthorized access at wecare@animaa.in
• We reserve the right to suspend or terminate accounts that violate these Terms

You may not create an account using a false identity, impersonate another person, or use automated tools to create accounts.

4 Pricing & Payments

4.1 Pricing

All prices are listed in Indian Rupees (INR) and are inclusive of applicable taxes (GST) unless stated otherwise. Prices are subject to change without notice; however, orders confirmed at a specific price will be honored at that price.

4.2 Payment Processing

Payments are processed through Razorpay. We accept:

• Credit & Debit Cards (Visa, Mastercard, RuPay, Amex)
• Net Banking (all major Indian banks)
• UPI (Google Pay, PhonePe, Paytm, BHIM, etc.)
• Wallets (Paytm, Mobikwik, etc.)
• EMI options (subject to bank eligibility)
• Bank Transfer / NEFT (for large project payments, on prior arrangement)

4.3 GST

Applicable GST is charged as per Indian tax law. A proper GST invoice will be issued for all transactions. Customers in India will be charged 18% GST on all products and services.

4.4 Failed Payments

If a payment fails but is debited from your account, the amount will be automatically reversed to your source account within 5–7 business days as per Razorpay's policy. Contact us at wecare@animaa.in if the refund is not received.

4.5 Project Payments

For custom development projects, payments are typically structured as milestones. The payment schedule will be defined in a separate Statement of Work (SOW) or Project Agreement. No work will begin on any phase until the corresponding milestone payment is received.

5 Digital Product Licenses

5.1 Plugin & Theme Licenses

Upon successful payment, you are granted a non-exclusive, non-transferable, revocable license to use the purchased plugin or theme according to the license tier purchased:

5.2 Restrictions

You may NOT:

• Redistribute, resell, sublicense, or share the purchased product with third parties
• Use the product beyond the scope of your purchased license
• Remove or alter copyright notices, watermarks, or attribution
• Reverse-engineer, decompile, or extract source code beyond what is permitted by law
• Use our products for illegal, harmful, or fraudulent purposes

5.3 Updates & Support

Active license holders are entitled to product updates and technical support for the duration of their license period. After license expiry, you may continue using the last downloaded version but will not receive updates or support.

6 Intellectual Property

All products, content, code, designs, trademarks, and intellectual property on our website and in our digital products are the exclusive property of Animaa Infotech or our licensors, protected under Indian intellectual property laws including the Copyright Act, 1957 and the Trade Marks Act, 1999.

For custom development projects, intellectual property ownership is governed by the Project Agreement. By default:

• Third-party components (frameworks, libraries) remain the property of their respective owners
• Custom code developed specifically for the client transfers to the client upon full final payment
• Reusable frameworks, boilerplates, and proprietary tools of Animaa Infotech remain our property

7 Custom Development Projects

7.1 Project Scope

The scope of any development project will be defined in a mutually agreed Statement of Work (SOW) or Project Brief. Changes to the scope ("change orders") will be documented and may affect the timeline and cost.

7.2 Client Responsibilities

The client is responsible for:

• Providing timely feedback, approvals, and required materials (content, assets, access)
• Ensuring provided content does not infringe third-party rights
• Designated point of contact who can make project decisions
• Timely milestone payments per the agreed schedule

7.3 Delays

If a project is delayed due to client inaction (missed approvals, late content delivery, delayed payments), Animaa Infotech is not liable for the delay and project timelines will be adjusted accordingly.

7.4 Confidentiality

Both parties agree to maintain confidentiality of sensitive business information shared during the project. We will not disclose your project details to third parties without your consent (except where required by law).

8 Prohibited Uses

You agree not to use our website, products, or services to:

• Violate any applicable Indian or international laws or regulations
• Engage in fraudulent transactions or provide false information
• Distribute malware, spam, or harmful code
• Attempt to gain unauthorized access to our systems
• Infringe on the intellectual property rights of Animaa Infotech or any third party
• Harass, abuse, or harm any individual or entity
• Circumvent payment systems or attempt fraudulent chargebacks
• Use our products in violation of Razorpay's acceptable use policies

9 Disclaimers & Limitation of Liability

To the maximum extent permitted by law, Animaa Infotech's total liability to you for any claim arising from these Terms or our products/services shall not exceed the amount you paid us in the 3 months preceding the claim.

We shall not be liable for:

• Loss of data, profits, goodwill, or business opportunities
• Indirect, incidental, consequential, or punitive damages
• Issues arising from third-party services (hosting, Razorpay, cloud providers)
• Force majeure events (natural disasters, government actions, internet outages)
• Delays caused by client inaction or incomplete information

10 Termination

Either party may terminate an ongoing service agreement with 30 days' written notice unless otherwise specified in the project agreement. Upon termination:

• All outstanding invoices become immediately due and payable
• We will deliver all completed work product to the client
• License access for digital products may be revoked for terms violations
• Confidentiality obligations survive termination

We reserve the right to immediately terminate access for breach of these Terms, fraudulent activity, or non-payment without prior notice.

11 Dispute Resolution

In the event of any dispute, we encourage resolution through the following steps:

1. Direct Contact: Email us at wecare@animaa.in with a detailed description of the issue. We aim to resolve disputes within 15 business days.
2. Mediation: If direct resolution fails, both parties agree to attempt mediation before pursuing legal action.
3. Arbitration: Unresolved disputes shall be settled by binding arbitration under the Arbitration and Conciliation Act, 1996 of India.
4. Jurisdiction: These Terms shall be governed by the laws of India, and any litigation shall be subject to the exclusive jurisdiction of courts in [Your City], India.

12 Changes to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated via:

• Email notification to registered users
• Prominent notice on our website for 30 days
• Updated "Last Modified" date at the top of this page

Continued use of our products or services after the effective date of changes constitutes your acceptance of the updated Terms.
